Terms of Service

1. Eligibility

You must be at least 16 years old (or the minimum age required in your jurisdiction) and able to form a binding contract. You represent that the information you provide is accurate and that you will comply with all applicable laws.

2. The Service

Execution Mind is an AI-powered productivity platform that may include, among other features: task and goal management, focus tracking, statistics, notifications, profile tools, and an AI Smart Assistant powered by a credit-based usage system.

We may modify, suspend, or discontinue any part of the Service at any time, with or without notice, to the extent permitted by law. We do not guarantee uninterrupted or error-free operation.

3. Accounts and Security

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Notifying us promptly if you suspect unauthorized access

You may not share your account, sell access to your account, or allow others to use your account except as we expressly permit.

We may refuse registration, reclaim usernames, or limit accounts at our sole discretion where we believe it is necessary for security, legal compliance, or enforcement of these Terms.

4. Subscription Plans and Billing

4.1 Plans and pricing

We offer paid subscription tiers, including monthly and annual billing. Indicative prices in U.S. dollars are shown below; checkout may display equivalents in your billing currency.

Prices, features, and plan names may also be shown on our pricing pages or at checkout. Taxes and fees may apply where required by law and are your responsibility unless stated otherwise at purchase.

4.2 Auto-renewal

Subscriptions renew automatically at the end of each billing period (monthly or annual, as selected) unless you cancel before the renewal date. By subscribing, you authorize recurring access to paid features according to your plan until you cancel.

Where renewal requires payment, you must complete an on-chain USDT payment at or before renewal through the payment flow we provide. Cancellation of auto-renewal is managed through your account or subscription settings; cancellation stops future billing periods and does not entitle you to a refund for the current or any past period (see Section 5).

4.3 Free trial and promotional access

We may offer a Free Trial or other limited promotional access. Unless we state otherwise in writing:

• The Free Trial is available strictly once per natural person (one human user), not once per device, email alias, household trick, or repeated registration.
• We use technical and account signals to enforce this limit.
• Any attempt to exploit, circumvent, or abuse the Free Trial—including creating multiple accounts, using false information, shared abuse patterns, or tools intended to bypass limits—may result in immediate suspension or permanent termination of all related accounts without notice and without refund of any kind.
• When a trial or subscription period ends, features may be locked or restricted until you subscribe or purchase credits as offered in the Service.

4.4 Plan changes

We may change plan features, limits, or prices for new purchases or renewals where permitted by law. We will provide notice as required by applicable law before price changes affect an existing subscription.

4.5 Web3 cryptocurrency payments (USDT on BSC)

All payments for subscription upgrades and Credit Store purchases are processed exclusively in USDT (BEP-20) on the BNB Smart Chain (BSC). We do not accept credit cards, bank transfers, or other fiat payment methods for these purchases through the Service.

Payments are initiated from your self-custodial wallet (for example, MetaMask, Trust Wallet, or another compatible wallet) using our wallet connection interface. Execution Mind does not hold, custody, or control your cryptocurrency assets at any time.

The amount payable is displayed at checkout or in the Credit Store before you confirm a transaction. You must send the required USDT amount to the designated receiver address on BSC. We verify payment server-side using the transaction hash and public blockchain data, linked to your account, as described in our Privacy Policy. Access, subscriptions, or Credits are granted only after successful verification.

You are responsible for ensuring your wallet is connected to BNB Smart Chain and that you approve the correct transaction details before signing.

4.6 Wallet connection and user responsibility

You are solely responsible for the security and use of your wallet, including safeguarding your private keys, seed phrase, and device access. Execution Mind is not responsible and shall have no liability for any loss of funds or digital assets arising from:

• Sending USDT or other tokens to an incorrect address or on the wrong blockchain network
• Unauthorized access to, or compromise of, your personal wallet (including phishing, malware, or loss of credentials)
• User error in reviewing, approving, or signing a transaction
• Transfer of unsupported tokens or assets other than the USDT amount we specify for your purchase
• Gas fees (BNB) required by the BSC network, including fee volatility, failed transactions due to insufficient gas, or network congestion
• Delays, failures, or forks affecting BSC or third-party wallet providers

Gas fees and network costs are borne entirely by you and are non-refundable.

5. Payments — Strict No Refund Policy

ALL PAYMENTS ARE FINAL. WE DO NOT OFFER REFUNDS.

This policy applies to all fees paid through the Service, including Web3 USDT payments for subscriptions (Pro, AI Pro) and Credit Store packages. Cryptocurrency transactions confirmed on BSC are final and irreversible. Once a transaction receives sufficient on-chain confirmation, Execution Mind cannot reverse, recall, cancel, or refund that transfer.

Without limiting the foregoing:

• Subscription fees (Pro, AI Pro, annual or monthly) are non-refundable, including partial periods, unused time, downgrades, or failure to use the Service.
• Credit purchases from the Credit Store (or any in-app credit top-up) are non-refundable.
• We do not refund for dissatisfaction with AI output, model behavior, downtime, maintenance, account closure by you, or termination by us for cause.
• On-chain USDT payments cannot be charged back through traditional payment dispute mechanisms. Any legacy fiat payment dispute or chargeback filed in bad faith may result in immediate account termination and refusal of future service.

Your statutory rights as a consumer (if any) in your jurisdiction remain unaffected only where they cannot be waived by agreement; where waiver is permitted, you agree to the no-refund policy above.

6. AI Smart Assistant and Credits

6.1 Credits required

Use of the AI Smart Assistant and related AI features consumes Credits from your Credit Wallet associated with your account. If you have zero Credits, AI features may be blocked until you obtain Credits through an included plan allocation, subscription benefit, or a separate Credit Store purchase.

6.2 Dynamic credit consumption

Credit usage is variable, not fixed per message. Each interaction may consume a different amount of Credits based on factors including, without limitation:

• Length and complexity of your prompts and AI responses
• Token or equivalent usage measured for that request
• Processing related to Smart Memory (personalization you enable)
• Context processing, including use of recent conversation history (for example, recalling context from the last twelve (12) messages in a session or as configured in the Service)
• Use of image attachments or advanced assistant modes available on your plan
• Routing between faster and more advanced assistant modes where your plan allows

You are solely responsible for monitoring your Credit balance. We may display estimated or actual consumption after requests; displayed balances are authoritative for billing purposes in the Service.

6.3 Plan allocations and changes

Subscription tiers may include initial or periodic Credit allocations. Allocations, reset rules on plan change, and expiration (if any) will be described in the Service or at purchase. We may adjust allocation amounts for future billing periods where permitted by law.

6.4 Credit Store

You may purchase additional Credit packages through our Credit Store (or equivalent in-app store). Purchased Credits:

• Are licensed for use only within Execution Mind
• Have no cash value, are not legal tender, and cannot be exchanged, transferred, or redeemed for money outside the platform except where law requires otherwise
• May be subject to fair use and anti-abuse limits
• Are subject to the strict no-refund policy in Section 5

Unused Credits may expire or be forfeited upon account termination or plan lapse, as described in the Service.

7. Acceptable Use

You agree not to:

• Violate any law or third-party rights
• Upload malware, illegal content, or content that infringes intellectual property
• Harass, threaten, or impersonate others
• Attempt to reverse engineer, decompile, scrape, or extract models, prompts, system instructions, or non-public APIs
• Abuse, overload, or automate the Service or AI endpoints (bots, reselling access, credential stuffing)
• Circumvent authentication, trial limits, Credit metering, or security measures
• Use the Service to develop competing products using unauthorized access to our systems
• Submit highly sensitive personal data (passwords, payment card numbers, government IDs) into AI chat or memory features

We may remove content, throttle usage, or terminate accounts for violations.

8. Intellectual Property

The Service, branding, software, and content we provide (excluding your user content) are owned by Execution Mind or our licensors and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal or internal business purposes in accordance with these Terms.

You retain ownership of content you submit. You grant us a worldwide license to host, process, and display your content solely to operate and improve the Service, including providing AI features you request, subject to our Privacy Policy.

9. AI Output Disclaimer

AI responses may be incorrect, incomplete, or outdated. They are not professional, legal, medical, financial, or mental health advice. You must independently verify important decisions. You use AI features at your own risk.

10. Suspension and Termination

We may suspend or terminate your account immediately, with or without notice, if we reasonably believe you:

• Breached these Terms or our policies
• Engaged in Free Trial or Credit abuse
• Attempted fraud, chargeback abuse, or payment evasion
• Reverse-engineered or abused the AI or Service infrastructure
• Created risk or legal exposure for us or other users

Upon termination:

• Your right to use the Service ends immediately
• No refund is owed (Section 5)
• We may delete or retain data as described in our Privacy Policy and applicable law

You may stop using the Service at any time; cancel subscriptions to avoid future renewal charges.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee uninterrupted, timely, secure, or error-free operation. You use the Service at your own risk. Execution Mind is not responsible for failures, delays, outages, or inaccuracies caused by third parties or external systems, including without limitation:

• BNB Smart Chain network congestion, forks, validator issues, or RPC endpoint failures
• Behavior of the USDT smart contract or other on-chain protocols
• Wallet connection providers (including WalletConnect, AppKit, or browser extension wallets)
• AI model providers and routing services used to deliver assistant features
• Cloud infrastructure providers (including Supabase) used for hosting, authentication, and data storage

You assume all risk of service interruptions, scheduled or unscheduled maintenance, and dependency outages. Limitations of liability in Section 12 apply to the fullest extent permitted by law.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXECUTION MIND AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) USD $50.

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

13. Indemnification

You agree to indemnify and hold harmless Execution Mind from claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your content, your violation of these Terms, or your violation of any law or third-party rights.

14. Governing Law and Disputes

These Terms are governed by the laws of England and Wales, United Kingdom, without regard to conflict-of-law rules, except where mandatory consumer protection laws in your country require otherwise.

Any dispute will be resolved in the courts of England and Wales, United Kingdom, unless applicable law requires a different forum. You may also have rights to bring claims in your country of residence if mandatory law provides.

15. Changes to These Terms

We may update these Terms from time to time. We will post the revised version with a new “Last updated” date. Material changes may be notified through the Service or by email where appropriate. Continued use after the effective date constitutes acceptance where permitted by law. If you do not agree, you must stop using the Service and cancel any subscription.
